Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Podchat website, any associated mobile or web application, and any other product, software, or service provided by Podchat ("Podchat", "we", "us", or "our") (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Important: Not financial advice
Podchat is an informational and educational product. Nothing on the Service is, or should be construed as, financial, investment, trading, legal, accounting, or tax advice.
- Podchat is not a registered investment adviser, broker-dealer, futures commission merchant, commodity trading adviser, financial planner, or financial professional of any kind, in any jurisdiction.
- We do not recommend or offer to buy, sell, or hold any security, derivative, cryptocurrency, or other financial instrument.
- We do not manage assets, hold customer funds, execute trades, or have access to your brokerage accounts.
- Nothing on the Service creates an adviser-client, broker-customer, fiduciary, agency, or similar relationship between you and Podchat.
- Any returns, win rates, risk scores, grades, leaderboards, or other figures shown are hypothetical and simulated unless explicitly labeled otherwise. Backtested figures are generated by a programmatic simulation of public posts on X at $1,000 per call. Earnings grades are computed from third-party financial data feeds. None of these figures reflect any real trade, any real account, or any real result. They do not account for commissions, slippage, taxes, fees, dividends, borrow costs, or your individual circumstances.
- Past performance, whether real or simulated, is not indicative of future results. The future performance of any security or strategy is unknown and unknowable.
- The Service relies on automated data collection, machine-learning classification, and AI-generated content that may contain errors, omissions, or misinterpretations. Sentiment classification, ticker extraction, earnings grades, and article summaries are best-effort, not exhaustive or guaranteed accurate.
- You are solely responsible for any investment, trading, or financial decisions you make. Always consult a qualified, licensed professional before acting on any information you encounter on the Service or anywhere else.
1. Eligibility
You must be at least 18 years old and able to form a legally binding contract under the laws of your jurisdiction to use the Service. You may not use the Service if you are prohibited from receiving services under U.S. or other applicable law.
2. Description of the Service
Podchat is an earnings research and investing tools platform. The Service aggregates publicly available market data from third-party sources and presents it for informational and educational purposes only. Key features include:
- Earnings calendar and Earnings Drift Grades. Upcoming and recent earnings report dates with confidence scoring, plus letter grades (A+ to F) on reported companies' forward outlooks, derived from financial data feeds (EPS/revenue surprise, analyst activity, margin trends). Grades are computed from market data, not from editorial opinion.
- Instant-alert articles. Automated, AI-generated summaries of SEC filings (13F institutional holdings), insider transactions (Form 4), congressional stock trades (STOCK Act disclosures), and analyst rating changes. These narratives are produced by large language models and are not human-edited research reports.
- Institutional, insider, congressional, and analyst activity. Aggregated views of hedge fund and institutional 13F holdings, insider buy/sell transactions, congressional stock trades, analyst upgrades/downgrades/price targets, and unusual options flow, sourced from third-party data providers.
- Per-ticker research pages. Price charts, key financial statistics, trading-trend visualizations, analyst consensus, options flow, and live social-media feeds for individual tickers.
- Smart Money consensus and Most Bought matrix. A multi-source signal board that fuses institutional, insider, congressional, analyst, options-flow, and social-sentiment data into a per-ticker consensus view.
- Social sentiment. Aggregated bullish/bearish sentiment from public posts on X (Twitter) and StockTwits, classified by automated models. Social data is pulled from public APIs and third-party data services.
- X stock-picker analysis. Automated backtesting of publicly available cashtag-bearing posts on X. We classify each post's sentiment using large language models and simulate a hypothetical $1,000-per-call trade against publicly available price data to produce win rates, risk indicators, and aggregate leaderboards.
- Portfolio and watchlist. Tools to track tickers and investors you are interested in. Your portfolio and watchlist selections are stored in your account.
- Financial calculators. General-purpose financial calculators (compound interest, mortgage, retirement, etc.) provided for educational use.
The Service does not constitute, and should not be relied on as, a research report, an investment recommendation, a solicitation, or an offer to buy or sell anything. AI-generated content (including instant-alert articles and sentiment classifications) is produced by automated systems and may contain errors, omissions, or misinterpretations. The Service does not promise that any specific investor's, institution's, or creator's future activity will follow historical patterns, nor that following any signal is profitable or appropriate for you.
3. Accounts and subscriptions
- Access to certain pages requires a paid subscription processed by Stripe.
- By subscribing, you authorize us, through Stripe, to charge the recurring fee to your payment method on the agreed cadence until you cancel.
- You can cancel at any time from the Stripe billing portal. Cancellation takes effect at the end of the then-current billing period. Except where required by law, fees are non-refundable.
- We may change subscription fees on at least 14 days' notice; continued use after the change constitutes acceptance.
- You are responsible for keeping your payment method current. If a charge fails, we may suspend your access until the issue is resolved.
4. Acceptable use
You agree not to:
- Use the Service in violation of any applicable law, including securities, anti-money-laundering, sanctions, and consumer-protection laws.
- Scrape, mirror, redistribute, sublicense, or resell the Service, its content, or its data, in bulk or in any automated way, without our written permission.
- Reverse engineer, decompile, or attempt to extract source code from the Service.
- Use the Service to harass, defame, dox, or threaten any analyzed creator or any other person.
- Hold yourself out as offering investment advisory services using Podchat data without making clear that the data is hypothetical and not financial advice.
- Use the Service to interfere with or disrupt its operation, including by injecting code, sending malicious requests, or attempting to gain unauthorized access.
We may suspend or terminate access for any violation of these Terms.
5. Analyzed accounts, public data, and public figures
The Service analyzes and displays publicly available data, including public posts on X (Twitter) and StockTwits, SEC filings, congressional stock-trade disclosures, analyst ratings, and institutional 13F holdings. Inclusion of any handle, institution, analyst firm, insider, or member of Congress on the Service is not an endorsement of, or affiliation with, that entity. Analyzed accounts and public figures are not customers of Podchat merely by appearing on the Service.
Any analyzed X creator may request removal of their cached profile by emailing legal@checkearningsiq.com; see our Privacy Policy for details. Public regulatory filings (SEC, STOCK Act) are public records and are not subject to removal requests.
Avatar images, ticker logos, and company favicons displayed on the Service are fetched from third-party services and remain the property of their respective owners. All trademarks, service marks, ticker symbols, and trade names are the property of their respective owners; their appearance on the Service does not imply endorsement.
6. Intellectual property
The Service, including the website code, design, copy, leaderboard composition, risk-scoring methodology, and aggregate data products, is owned by Podchat and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use during the term of your subscription. All other rights are reserved.
7. Third-party services
The Service relies on third-party providers, including but not limited to: Stripe (payments), Google Cloud (hosting and storage), Resend (transactional emails), Mixpanel (product analytics), and a set of third-party market-data and AI/ML providers that supply public market and company data and automated analysis. Their terms and privacy policies apply to your use of their services.
We are not responsible for the availability, accuracy, completeness, or practices of any third party, nor for any losses arising from third-party data inaccuracies, delayed data, downtime, or rate-limiting. Market data, financial estimates, filing data, and social sentiment shown on the Service are sourced from these providers on a best-effort basis and may be delayed, incomplete, or incorrect.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. WITHOUT LIMITING THE FOREGOING, PODCHAT DOES NOT WARRANT THAT THE SERVICE WILL BE ACCURATE, COMPLETE, RELIABLE, CURRENT, UNINTERRUPTED, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
WITHOUT LIMITING THE PRECEDING PARAGRAPH, PODCHAT EXPRESSLY DISCLAIMS ANY WARRANTY THAT THE SIMULATED RETURNS, WIN RATES, RISK SCORES, EARNINGS GRADES, SENTIMENT SCORES, SMART MONEY CONSENSUS SIGNALS, OR AI-GENERATED CONTENT SHOWN ON THE SERVICE BEAR ANY RELATIONSHIP TO ACTUAL TRADING RESULTS THAT YOU OR ANY OTHER PERSON COULD ACHIEVE, OR THAT ANY AI-GENERATED CONTENT IS FREE OF FACTUAL ERRORS.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PODCHAT OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR INVESTMENT, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SERVICE, EVEN IF PODCHAT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
PODCHAT'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PODCHAT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS (USD $100).
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
10. Indemnification
You agree to defend, indemnify, and hold harmless Podchat and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including but not limited to any trading or investment decisions you make.
11. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, including if we believe you have violated these Terms. On termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including 5–13) shall survive.
12. Governing law and dispute resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue there.
Nothing in this section limits your right, where applicable, to bring claims in small-claims court or to seek injunctive relief in any court of competent jurisdiction.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced on the Service and, where appropriate, by email at least 7 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
14. Miscellaneous
- Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Podchat regarding the Service.
- Severability. If any provision is held unenforceable, the remaining provisions remain in full force.
- No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Notices. Notices to you may be sent to the email associated with your subscription. Notices to us must be sent to legal@checkearningsiq.com.

Podchat is not affiliated with, endorsed by, or sponsored by X Corp., any analyzed creator, any exchange, any broker-dealer, or any issuer of any security mentioned on the Service. Cashtags and ticker symbols are the property of their respective owners and are used for identification only.
